Tennis Central Region Inc. gives notice of the intention to hold a Special General Meeting on Sunday, 4 May 2025 at 5.00pm. This Special General Meeting will be conducted by Zoom only and can be attended via the below link:

The Board of Tennis Central Region Inc. formally requested this Special General Meeting be held following a resolution passed at their Board meeting on 20 March 2025.
The intention of this Special General Meeting is to amend the Constitution of Tennis Central Region, specifically the geographic boundaries of Tennis Central so that they no longer include the five associations of Hutt Valley, Manawatu, Taranaki, Wairarapa and Whanganui and thereby the clubs that exist within those five associations.
The proposed change to the Constitution is clause 26 Interpretation and sub-clause 26.1 Definitions, where it is proposed that the definition for ‘Region’ is altered , to change from:
“Region means the geographical area determined by Order in Council (and notified in the New Zealand Gazette) comprising of, and/or described in the relevant Plans of, the Ruapehu District Council, New Plymouth District Council, Stratford District Council, South Taranaki District Council, Wanganui District Council, Rangitikei District Council, Manawatu District Council, Palmerston North City Council, Tararua District Council, Horowhenua District Council, Kapiti Coast District Council, Masterton Distract Council, Carterton District Council, South Wairarapa District Council, Porirua City Council, Upper Hutt City Council, Hutt City Council, and the Wellington City Council, and as amended from time to time.”
to:
“Region means the geographical area determined by Order in Council (and notified in the New Zealand Gazette) comprising of, and/or described in the relevant Plans of, the Kapiti Coast District Council, Porirua City Council, and the Wellington City Council, and as amended from time to time.”
No other business is proposed to occur at this Special General Meeting.
However, a second Special General Meeting will commence at 5.15pm, whereby the member clubs of the revised geographic area anticipated to be endorsed at the first Special General Meeting, specifically the clubs in the Kapiti Coast, Porirua and Wellington territories, will be asked to vote into effect a new Constitution that meets the requirements of the Incorporated Societies Act changes and the Tennis New Zealand desired changes, including a name change of the entity to Tennis Capital-Coast.
It is asked that all clubs in Kapi-Mana and Wellington confirm their delegate(s) to attend the Meeting by Thursday, 1 May 2025. All clubs in Hutt Valley, Manawatu, Taranaki, Wairarapa and Whanganui are asked to confirm to your association that they hold your club’s proxy for the Meeting.

The Board of Tennis Central Region Inc. formally requested this Special General Meeting be held following a resolution passed at their Board meeting on 20 March 2025.
The intention of this Special General Meeting is to adopt a new Constitution for Tennis Central Region Inc., to be renamed Tennis Capital-Coast Inc. as part of the proposed changes.
Proposed new Constitution.
However, it is still undergoing a legal review for any alterations that may be recommended and so an update is then expected to be circulated . As a result, an amendment to the resolution to adopt the attached Constitution will be part of the business to be conducted at the Special General Meeting to ensure the version recommended by the legal review is adopted.
Given the significant changes to address the requirements of the Incorporated Societies Act 2022 and also the changes advocated by Tennis New Zealand, I attach only the proposed new Constitution, It is not practical to provide a document that shows the tracked changes from the current Constitution as the two documents have limited commonality in format.
No other business is proposed to occur at this Special General Meeting.
Please note, as previously communicated, there will be another Special General Meeting (SGM #1) commencing at 5.00pm, 15 minutes before this Special General Meeting (SGM #2). Both SGMs are using the same Zoom access details.
It is asked that all clubs in Kapi-Mana and Wellington confirm their delegate(s) to attend the Meeting by Thursday, 1 May 2025.
Clubs in Hutt Valley, Manawatu, Taranaki, Wairarapa and Whanganui are being provided with this information because they are existing members of Tennis Central and therefore the current Constitution requires they receive this notice. However, as the intent of SGM #1 is to remove all clubs located in Hutt Valley, Manawatu, Taranaki, Wairarapa and Whanganui as members of Tennis Central Region, none of those clubs are expected to still be members of Tennis Central as at the start of SGM #2 and therefore there will be no need for them or their associations as holders of their proxy to attend SGM #2.
